SARL or SARL AU: differences and choice criteria

The same legal family, but different ownership and decision evidence: choose through real members, contributions, power and exit.

SARL and SARL AU are not two levels of protection. They are the same family organised around several members or a sole member. Choose SARL AU when one person genuinely owns the project today; choose SARL when several people provide durable capital and accept shared power. Do not add a nominal member for the initials.

Ask before sharing equity.

4. Do not overread capital

Law 5-96 lets the articles freely set SARL capital. That does not mean a tiny capital funds or supports a lease, inventory and staff.
