The choice determines who exists, signs and carries debt. A subsidiary is a company with its own legal personality; a branch extends its parent without separate personality; an establishment generally describes an operating location of the entity. Do not let the terms become synonyms in lease, bank and register.

Choice axes
- Local legal personality.
- Asset owner.
- Contracting party.
- Debt responsibility.
- Governance and representative.
- Funding and repatriation.
- Tax and foreign exchange.
- Principal or local register.
- Site permissions.
1. Draw the legal map
Start with parent and every location.
| Structure | Identity | Consequence |
|---|---|---|
| Subsidiary | distinct Moroccan company controlled by parent | own capital, organs, contracts |
| Branch | parent extension without own personality | parent engaged, representative, local entry |
| Secondary establishment | location of existing entity | same person, update entries/address |
2. Compare with a real contract
Use lease, customer contract and employment.
- Write the name that signs.
- Identify account that pays.
- Identify inventory owner.
- Decide who employs.
- Trace funding between parent and operation.
- Validate tax, treaties and exchange.
- Check each site’s permits.
A structure that looks best on a chart can fail if bank, landlord or customer cannot process the flow.
3. Open a branch with the right evidence
The RIC provides a practical sequence to confirm for the actual file.
| Block | Action |
|---|---|
| Name | OMPIC certificate |
| Decision | opening minutes and representative |
| Address | tax domicile |
| Acts | registration and legal deposit |
| RC | registration/entry |
| Notice | gazette and Official Bulletin |
| After | CNSS and Exchange Office as applicable |
Foreign acts, translations, legalisation and powers depend on origin and file.
Permanent establishment is also a tax concept
This guide uses establishment as an operating location. Tax permanent-establishment status is a separate professional analysis.
4. Handle multiple establishments
The Commercial Code provides entries for branches, agencies and new activities with relevant local registers. A second shop is not a free software line before it is regularised in reality.
- Entity: person operating
- Site: place and use
- Register: applicable entry
- Operation: site sale and stock
Align address, activity, sign, permission, insurance, local tax and person responsible for each site.
5. Consolidate without erasing boundaries
A group needs global view and evidence by entity/site.
- Defined common or local catalogue.
- Identified stock owner.
- Till assigned to correct establishment.
- Documented transfers.
- Attached users.
- Reports filterable by site.
BelloPOS can separate outlets and consolidate operations. It does not decide which entity owns stock or how an intragroup transaction is treated.
Mistakes to avoid
- Calling branch subsidiary.
- Contract in wrong name.
- Stock without owner.
- Representative without power.
- Unregistered second site.
- Undocumented intragroup flow.
Frequently asked questions
Does a branch have legal personality?
The RIC describes it as having no own legal personality or financial independence, despite management autonomy.
Is a subsidiary independent?
It is a distinct legal person controlled by the parent under the structure.
Is a second shop a subsidiary?
Not automatically. It may be an establishment of the same entity with required entries and permits.
What about a foreign parent?
Address parent acts, representative, exchange, tax and branch or subsidiary formalities.
Does BelloPOS manage sites?
It organises operations by site; legal and tax structure must be defined elsewhere.
What to take away
Draw persons, contracts, debts and flows first. Then choose subsidiary, branch or establishment and align each site in registers, permits and operations.
