Branch, subsidiary or establishment: which structure should you choose?

Legal personality, debt, control, contracts, tax and register: choose the right level for operating an activity in Morocco.

The choice determines who exists, signs and carries debt. A subsidiary is a company with its own legal personality; a branch extends its parent without separate personality; an establishment generally describes an operating location of the entity. Do not let the terms become synonyms in lease, bank and register.

The Commercial Code provides entries for branches, agencies and new activities with relevant local registers. A second shop is not a free software line before it is regularised in reality.
